Purchaser Terms of Service

Introduction

These Purchaser Terms of Service ("Purchaser Terms") apply to all purchases made through the Unicorns Club platform (unicorns.club and subdomains), operated by Unicorns VC Inc., a Delaware corporation ("Company," "we," "us," or "our").

By purchasing a Premium subscription or otherwise making a payment on the Platform, you agree to be bound by these Purchaser Terms, as well as the Unicorns Club Terms of Service and Privacy Policy (collectively, the "Agreement"). These Purchaser Terms govern your purchase and use of paid features.

If there is any conflict between these Purchaser Terms and the Terms of Service, these Terms shall prevail with respect to your purchases and use of paid features.

1. Definitions

"Platform" means the unicorns.club website and all subdomains and associated services operated by Unicorns VC Inc.

"Premium Subscription" or "Premium" means a paid subscription tier granting access to Premium features as described in Section 3.

"Standard Access" means the free-tier access level, permanently unlocked after your first Premium purchase.

"Sparks" means the internal utility credits used on the Platform, as described in Section 5.

"Subscription Period" means the duration of your chosen Premium plan: 3 months, 6 months, or 12 months.

"Billing Date" means the date on which a payment is processed for your subscription.

2. Paid Services

Unicorns Club offers a Premium subscription that provides access to enhanced features and human-reviewed services. Payments are processed through one or more authorized third-party payment processors. By making a payment, you agree to the applicable terms of service of the payment processor used at checkout.

Unicorns Club is not a broker-dealer, investment advisor, or financial intermediary. Purchasing a Premium subscription does not guarantee funding, investor introductions, investment decisions, or any specific business outcome.

3. Premium Subscription

3.1 Subscription Plans and Pricing

Premium subscriptions are available in the following plans. Sparks may be applied to reduce the price at first payment or upon resubscription after cancellation (see Section 5 for Sparks rules):

• 3-Month Premium: $50, Max Sparks Discount: 35%
• 6-Month Premium: $90, Max Sparks Discount: 40%
• 12-Month Premium: $150, Max Sparks Discount: 45%

Prices are in US Dollars. The Company reserves the right to change pricing at any time. Price changes take effect at the start of the next Subscription Period following notice.

3.2 What Premium Includes

All Premium features are active during the Subscription Period. Upon your first Premium purchase, Standard Access is permanently unlocked.

Standard Access (permanent after first Premium purchase) includes:

• Startup profile visible to investors on the Platform
• Ability to receive inbound introduction requests from investors
• Appearance in rankings and benchmarks
• Access to a curated investor list during auto-matching
• Continued earning of Sparks for profile updates

Premium features (active during Subscription Period) include:

• Unlimited outbound introduction requests to matched investors
• Pitch deck human-review (see Section 3.3 for delivery terms)
• Human-reviewed fundraising strategy (see Section 3.3 for delivery terms)
• Priority founder support via email at [email protected] (see Section 3.4)
• Feature in Unicorns Journal interview (see Section 3.5)
• Proactive investor matching by the Unicorns Club team (see Section 3.6)
• Increased chances of VC attention: x5 for 6-month plan, x10 for 12-month plan

3.3 Human-Reviewed Services: Pitch Deck Review and Fundraising Strategy

Pitch deck human-review and human-reviewed fundraising strategy are services that require direct participation by Unicorns Club team members. The following delivery terms apply:

• These services are delivered sequentially (one service at a time per user), not simultaneously.
• Each service (pitch deck review or fundraising strategy review) is available no more than once per calendar month per user.
• To receive the service, the user must submit the required materials to [email protected] within the active Subscription Period.
• If the user does not submit the required materials, or does not respond to our requests for information within the active Subscription Period, the service is considered rendered for that period. No refund or extension is provided in this case.
• We reserve the right to request reasonable clarification or additional materials before completing the review.
• The output of these services is advisory in nature and does not constitute legal, financial, or investment advice.

3.4 Priority Founder Support

Priority founder support means that questions submitted by Premium users to [email protected] regarding Platform functionality and service delivery will be handled with priority over questions from non-Premium users.

Support is provided via email only. We will use the contact email address associated with your Unicorns Club account for all communications. Response times are not guaranteed, but we aim to respond to Priority users faster than standard users.

If a user fails to respond to our email within the active Subscription Period, or fails to provide information necessary for us to deliver a service, the relevant service obligation is considered fulfilled for that Subscription Period. No refund or extension is provided in this case.

3.5 Interview in Unicorns Journal

Premium subscribers are eligible to be featured in an interview published on the Unicorns Journal (journal.unicorns.club), a content channel operated by Unicorns Club.

• This service may be requested by the user no more than once every six (6) months.
• Scheduling and publication of the interview is subject to editorial capacity and at the reasonable discretion of the Unicorns Club team.
• The Company does not guarantee a specific publication date or format.
• If the user does not initiate the request or does not provide the required information during the applicable Subscription Period, the opportunity for that period is forfeited without refund or compensation.

3.6 Proactive Investor Matching

Premium subscribers may benefit from proactive investor matching, where the Unicorns Club team actively identifies potentially relevant investors and initiates introductions on behalf of the startup.

The following limitations apply:

• Proactive investor matching is not guaranteed. It depends on the startup's metrics, traction, stage, and the availability of relevant investors in the Unicorns Club network at the time of review.
• The Company does not guarantee any specific number of introductions or any particular outcome.
• This service includes outreach through the Platform and, where appropriate, through the Company's direct network outside the Platform.
• The Company retains full discretion over which investors are contacted and in what manner.

3.7 Subscription Auto-Renewal

Premium subscriptions automatically renew at the end of each Subscription Period for the same duration, at the then-current base price (without Sparks discount). By subscribing, you expressly authorize recurring charges to your payment method on file.

To avoid renewal, you must cancel your subscription at least twenty-four (24) hours before the end of your current Subscription Period. Instructions for cancellation are available in your account settings or by contacting [email protected].

After cancellation, your Premium access remains active until the end of the current Subscription Period. No refund is provided for the remaining portion of the Subscription Period.

3.8 Payment Terms

All payments are processed by an authorized third-party payment processor. By completing a purchase, you agree to the applicable terms of service of the payment processor and authorize them to charge your payment method for the subscription amount.

You agree to pay all applicable taxes, duties, and fees associated with your purchase. The Company is not responsible for errors or delays caused by any payment processor, bank, or card network.

All prices are stated in US Dollars. If you are charged in another currency, your bank's exchange rate and fees may apply.

3.9 No Refunds

ALL PAYMENTS FOR PREMIUM SUBSCRIPTIONS ARE FINAL AND NON-REFUNDABLE, EXCEPT AS REQUIRED BY APPLICABLE LAW. THIS INCLUDES CASES WHERE: (I) YOU DID NOT USE ALL FEATURES DURING THE SUBSCRIPTION PERIOD; (II) YOU CANCELLED THE SUBSCRIPTION BEFORE THE END OF THE PERIOD; (III) A SPECIFIC SERVICE WAS NOT DELIVERED BECAUSE YOU DID NOT SUBMIT REQUIRED MATERIALS OR DID NOT RESPOND TO OUR COMMUNICATIONS.

We make no guarantee as to any specific level of service availability, response times, or outcomes in connection with the Premium subscription.

3.10 Price Changes

We reserve the right to change subscription prices at any time. We will provide reasonable advance notice of price changes. For existing subscriptions, price changes take effect at the start of the next Subscription Period after notice. If you do not agree with a price change, you may cancel your subscription before the next renewal date.

4. Standard Access

Standard Access to the Platform is available free of charge. Your first Premium purchase permanently unlocks Standard Access, which remains active even if your Premium subscription expires or is cancelled.

Standard Access features are described in Section 3.2 above. The Company reserves the right to modify Standard Access features at any time.

5. Sparks — Internal Utility Credits

5.1 What Are Sparks

Sparks are internal utility credits used on the Unicorns Club Platform. Sparks are not money, currency, or a financial instrument of any kind. They have no monetary value outside the Platform, cannot be redeemed for cash, and cannot be transferred to another user or account.

Sparks are provided at the Company's sole discretion as part of the Platform experience. The Company reserves the right to modify, reduce, or discontinue the Sparks program at any time without notice.

5.2 Earning Sparks

Users may earn Sparks through various actions on the Platform, including but not limited to updating their startup profile, completing onboarding steps, and other engagement activities as determined by the Company from time to time.

5.3 Using Sparks

Sparks may be applied to reduce the price of a Premium subscription according to the following rules:

• 1 USD equivalent = 10 Sparks
• Sparks may only be applied at the time of the first payment for a new Premium subscription, or at the time of resubscription following cancellation of a prior subscription
• Sparks may not be applied to auto-renewal charges
• The maximum discount achievable through Sparks depends on the plan selected (see Section 3.1 for per-plan limits)
• The final price after Sparks application is always rounded up to the nearest whole US Dollar (ceiling function). This ensures that the actual discount does not exceed the stated maximum and that no fractional dollar amounts are charged.

5.4 Expiration and Forfeiture

Sparks may expire or be forfeited in the following circumstances: (i) your account is terminated; (ii) the Sparks program is discontinued; (iii) Sparks are used in violation of these Terms. The Company reserves the right to set expiration periods for Sparks and to communicate such periods through the Platform.

5.5 No Warranty on Sparks

THE COMPANY MAKES NO REPRESENTATION OR WARRANTY REGARDING THE CONTINUED AVAILABILITY OF THE SPARKS PROGRAM OR ANY SPECIFIC SPARKS BALANCE. SPARKS HAVE NO GUARANTEED MONETARY VALUE AND THEIR AVAILABILITY MAY BE MODIFIED OR TERMINATED AT ANY TIME.

6. Termination and Paid Services

If your account is suspended or terminated by the Company for violation of the Terms of Service or these Purchaser Terms, you will not be entitled to a refund for any prepaid subscription amounts, to the extent permitted by applicable law.

If you terminate your account voluntarily, your Premium subscription will remain active until the end of the current Subscription Period, after which no further charges will be made. No refund is provided for the unused portion of the Subscription Period.

7. Changes to These Terms

We may update these Purchaser Terms from time to time. We will notify you of material changes by posting the updated Purchaser Terms on the Platform or by sending you an email to the address associated with your account. Your continued use of the Platform or continued subscription after the effective date of the updated Purchaser Terms constitutes your acceptance of the changes.

8. Governing Law

These Purchaser Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising from these Purchaser Terms shall be resolved in accordance with Section 13 of the Unicorns Club Terms of Service.
